  1. PURPOSE

This Code arises as a result of the ethical commitment to the proper development of relationships between JIM SPORTS and its main stakeholders (employees, customers, suppliers, and those companies in which it develops its business model).

The objective of this Code is to ensure professional, ethical and responsible behaviour by its employees in the performance of the company's activities.

  1. SCOPE

This code will apply to all activities of JIM SPORTS and will be binding for all of its personnel, and may be extended to any individual and/or legal entity related to JIM SPORTS whenever deemed appropriate.

Exemption from compliance with the guidelines of this internal code of conduct may only be authorized by the ETHICS COMMITTEE, in justified cases.

  1. GENERAL PROVISIONS

Prohibition of forced labor.
JIM SPORTS will not permit any form of forced or involuntary labor at the production facilities and/or premises of its external manufacturers, suppliers, and their subcontractors.

External manufacturers, suppliers, and their subcontractors may not require any "deposit" from their workers, nor withhold identification documents.

External manufacturers, suppliers, and their subcontractors will recognize their workers' right to leave their job with reasonable prior notice.

 

Prohibition of child labor.
External manufacturers, suppliers, and their subcontractors will not hire minors. JIM SPORTS defines a minor as any person under 16 years of age. If local legislation establishes a higher age limit, that limit will be respected.

Persons under 18 years of age must not work night shifts or under hazardous conditions, as defined by International Labour Organization Recommendation 190.

 

Prohibition of discrimination.
External manufacturers, suppliers, and their subcontractors must not apply any discriminatory practice in hiring, compensation, access to training, promotion, contract termination, or retirement, based on race, caste, creed, nationality, religion, age, physical or mental disability, gender, marital status, sexual orientation, and/or union or political affiliation.

 

Respect for freedom of association and collective bargaining.
External manufacturers, suppliers, and their subcontractors will guarantee all their workers, without exception, the rights of association, affiliation, and collective bargaining, without any reprisals arising from the exercise of these rights, and will not offer remuneration or payment of any kind to employees in order to hinder the exercise of such rights.

External manufacturers, suppliers, and their subcontractors will adopt an open and cooperative attitude toward union activities.

Worker representatives will be protected against any type of discrimination and may freely carry out their functions as representatives in their workplace.

When the rights of freedom of association and collective bargaining are restricted by law, appropriate channels must be designed to guarantee their reasonable and independent exercise.

 

Prohibition of abuse or inhumane treatment.
External manufacturers, suppliers, and their subcontractors will treat their employees with dignity and respect. Under no circumstances will physical punishment, sexual or racial harassment, verbal or power abuse, or any other form of harassment or intimidation be tolerated.

 

Workplace health and safety.
External manufacturers, suppliers, and their subcontractors will provide their employees with a safe and healthy workplace, guaranteeing minimum conditions of lighting, ventilation, hygiene, fire protection, safety measures, and access to drinking water.

Workers must have access to clean restrooms with drinking water. When conditions require it, facilities for food storage must be provided.

Dormitories, if provided, will be hygienic and safe.

External manufacturers, suppliers, and their subcontractors will adopt the necessary measures to prevent accidents and damage to workers' health, minimizing, as far as possible, the risks inherent to the work.

External manufacturers, suppliers, and their subcontractors will provide their workers with regular training in occupational health and safety. The company must keep an appropriate record of the training courses provided.

External manufacturers, suppliers, and their subcontractors must designate a health and safety officer within Management with sufficient authority and decision-making capacity.

 

Wage payment.
External manufacturers, suppliers, and their subcontractors must ensure that the wages paid to their workers are at least equal to the legal minimum or the amount established by collective agreement, if higher. In any case, said wage must always be sufficient to cover, at minimum, the basic needs and any other reasonable additional needs of the workers and their families.

External manufacturers, suppliers, and their subcontractors will not make withholdings and/or deductions from workers' wages for disciplinary reasons or for any reason other than those established by applicable law, without their express authorization.

External manufacturers, suppliers, and their subcontractors will provide their workers with: at the time of hiring, clear written information about their wage conditions, and at the time of each periodic wage payment, information about its specifics.

External manufacturers, suppliers, and subcontractors will ensure that wages and other benefits are paid in a timely and proper manner in accordance with applicable law, and specifically, that payments are made in the manner most convenient for workers.

 

Non-excessive working hours.
External manufacturers, suppliers, and subcontractors will adjust the length of the working day to what is established by applicable law or by the collective agreement for the relevant sector, if more favorable to the worker.

External manufacturers, suppliers, and subcontractors will not, as a general rule, require their employees to work more than 48 hours per week, and workers will be granted, on average, at least one day off for every 7 calendar days.

Overtime must be voluntary, must not exceed 12 hours per week, must not be required on a habitual basis, and must be paid at a higher rate than normal hours, in accordance with current legislation.

 

Environmental commitment
External manufacturers, suppliers, and their subcontractors will maintain an ongoing commitment to environmental protection and, at minimum, will comply with the standards and requirements established by applicable local and international legislation.

 

Regular employment.
External manufacturers, suppliers, and their subcontractors commit to ensuring that all employment arrangements they develop fall within common labor practice and applicable local legislation. External manufacturers, suppliers, and their subcontractors will not undermine workers' rights recognized under labor and social security law through subcontracting arrangements, home-based work, internship and apprenticeship contracts, and/or any other similar arrangement in which there is no genuine intention to promote regular employment, within the framework of ordinary employment relationships.

 

Implementation of the code.

  • Subcontracting. External manufacturers and suppliers may not subcontract production without JIM SPORTS' prior written authorization.

External manufacturers and suppliers who subcontract JIM SPORTS production will be responsible for compliance with this Code by the subcontracted companies.

External manufacturers, suppliers, and their subcontractors will apply the principles of this Code to home-based workers who are part of their production chain, and will provide transparency regarding the locations and working conditions of said workers.

  • Management systems. External manufacturers, suppliers, and their subcontractors will implement and apply programs to put this Code into practice.

External manufacturers, suppliers, and their subcontractors must make this Code known to all their employees and to their contractors, subcontractors, suppliers, agents, and home-based workers who are in any way involved in the JIM SPORTS production chain.

  • Ethical commitment. External manufacturers, suppliers, and their subcontractors will maintain honest, ethical, and transparent conduct in their business activity, keeping an appropriate accounting record system as a preventive measure against any corruption, bribery, or extortion that may occur. External manufacturers, suppliers, and their subcontractors must not offer, grant, solicit, or accept gifts or favors to/from JIM SPORTS buyers that contravene what is agreed upon in the JIM SPORTS Group Internal Personnel CODE OF CONDUCT.

External manufacturers, suppliers, and their subcontractors will not manipulate or influence their workers, nor falsify files or records in a way that alters the verification processes for compliance with this Code.

External manufacturers, suppliers, and their subcontractors may not offer or accept any type of remuneration intended, whether intentionally or not, to interfere with the impartiality or objectivity of the parties designated by JIM SPORTS to carry out inspections and audits of compliance with this Code.

  • Product health and safety. External manufacturers, suppliers, and their subcontractors assume responsibility for applying JIM SPORTS' product health and safety standards in the manufacturing processes of raw materials, finished products, accessories, and footwear that they sell to JIM SPORTS.
  • Publication of the Code. The Management of external manufacturers, suppliers, and their subcontractors will inform their workers about the content of this Code.

A copy of it, translated into the local language, must be displayed in a location accessible to all workers.

  • Reference to national legislation and collective agreements. The provisions of this Code constitute minimum standards only. In the event that national legislation or any other applicable legislation, or any other commitments assumed or applicable, including collective agreements, regulate the same matter, the regulation most favorable to the worker will apply.
